Terms of Service

These Terms of Service ("Terms") govern your use of the Chief Of AI assistant services ("Service") provided by Chief Of ("Chief Of," "we," "us," or "our"). By signing up for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Chief Of provides a dedicated AI assistant service that runs on a private server instance. The Service includes an AI-powered assistant accessible via messaging platforms (such as Telegram, WhatsApp, or Slack), onboarding support, and ongoing optimization. The AI assistant can help with tasks including but not limited to scheduling, research, drafting communications, meal planning, form filling, and household or business management.

2. Account and Eligibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep your information current.

3. Fees and Payment

• Setup Fee: A one-time setup fee is charged at the time of enrollment to provision your dedicated server and configure your AI assistant.
• Monthly Subscription: A recurring monthly fee is charged for ongoing access to the Service. Your subscription begins 30 days after your setup fee is processed.
• Payment: All payments are processed through Stripe. You authorize us to charge your payment method for all applicable fees.
• Refunds: Setup fees are non-refundable once your dedicated server has been provisioned. Monthly subscription fees are non-refundable for the current billing period. You may cancel at any time to prevent future charges.

4. API Keys and Third-Party Credentials

Certain features of the Service may require you to provide your own API keys for third-party AI providers (such as Anthropic or OpenAI). You are solely responsible for:

• Obtaining and maintaining your own API keys and accounts with third-party providers
• All usage charges incurred through your API keys
• Complying with the terms of service of those third-party providers

We encrypt and securely store any API keys you provide on your dedicated server. We do not share your API keys with other customers or use them for any purpose other than operating your AI assistant.

5. AI Output Disclaimer

The AI assistant provides responses generated by artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or outdated information. You acknowledge and agree that:

• AI output should not be relied upon as professional, legal, medical, financial, or tax advice
• You are responsible for reviewing and verifying any information, recommendations, or content produced by the AI assistant before acting on it
• The AI assistant may occasionally produce incorrect, incomplete, or inappropriate responses
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• Any forms filled, documents drafted, or actions suggested by the AI should be reviewed by you before submission or use

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate, store, or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to other users' instances or our systems
• Interfere with or disrupt the Service or servers
• Use the Service to send spam, phishing, or other unsolicited communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or redistribute the Service without our written permission

We reserve the right to suspend or terminate your account for violations of these terms.

7. Data Ownership and Privacy

You retain ownership of all content you provide to the Service, including messages, files, and personal information. We claim no ownership over your data. Our use of your information is governed by our Privacy Policy. Each customer's AI assistant runs on an isolated, dedicated server instance. Your data is not shared with or accessible by other customers.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIEF OF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless Chief Of and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you provide to the Service.

11. Cancellation and Termination

• By You: You may cancel your subscription at any time by contacting us at your@chiefof.life. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.
• By Us: We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice. In the event of termination by us without cause, we will provide a pro-rated refund for the unused portion of your current billing period.
• Effect of Termination: Upon termination, your dedicated server instance and associated data will be deleted within 30 days. You may request a data export prior to termination.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Texas. You agree to waive any right to a jury trial or to participate in a class action.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chief Of regarding the Service and supersede all prior agreements and understandings.
